Procore Technologies said it has agreed to acquire DroneDeploy, a robotics and visual intelligence platform used on construction jobsites, for approximately $845 million in cash. The deal, announced July 29, pairs one of construction software’s largest players with a company whose drones, ground robots and fixed cameras have mapped roughly 20 trillion square feet of the built environment.

The acquisition is Procore’s largest to date and signals a bet that construction firms will pay for software that not only stores jobsite data but interprets it and triggers action. Procore (NYSE: PCOR) disclosed the agreement in a press release on its newsroom site, confirmed the same day in a filing distributed via Business Wire.

What DroneDeploy brings

DroneDeploy is a reality-capture platform used on more than 3 million jobsites in over 180 countries, according to the companies. Its technology pulls visual data from aerial drones, ground-deployed robots, and mobile, fixed and wearable cameras, giving construction teams a record of site conditions over time.

That dataset is substantial. Procore said DroneDeploy’s platform has collected tens of millions of user-generated annotations and more than 100,000 labeled safety issues, layered on top of its roughly 20 trillion square feet of captured visual data.

Procore, for its part, said its own platform processes nearly 400 million photos, more than 126 million drawings, and upward of 10 million RFIs, submittals and inspections annually across roughly 3 million projects in more than 150 countries. Combining the two datasets is the crux of the deal’s stated rationale.

Why Procore is buying

In the release, Procore framed the acquisition around building what it called “digital coworkers” β€” AI systems capable of perceiving jobsite conditions, understanding what they mean, and taking action within the platform, rather than simply flagging issues for a human to review later.

“Adding DroneDeploy’s technology into the Procore platform will enable us to accelerate our AI strategy and deliver digital coworkers,” said Ajei Gopal, Procore’s president and CEO, in the announcement. Gopal added that once the deal closes, Procore plans to “immediately cross-sell DroneDeploy’s solutions into our broader customer base and vice versa.”

DroneDeploy CEO Mike Winn characterized the deal as an extension of his company’s existing mission rather than a pivot. “Joining Procore accelerates that mission,” Winn said, adding that DroneDeploy “remain[s] committed to delivering the best ground and aerial reality capture solutions” as part of Procore going forward.

Procore’s stated motivation ties back to a persistent problem in the construction industry: a shortage of skilled labor. The companies said combining continuous visual monitoring with AI analysis is meant to help understaffed project teams catch issues earlier and document site conditions without added manual work.

Deal terms and timing

Procore will pay approximately $845 million in cash for DroneDeploy, subject to customary purchase price adjustments, according to the press release. The transaction is expected to close later in 2026, pending regulatory approvals and other customary closing conditions.

Goldman Sachs & Co. LLC is serving as exclusive financial advisor to Procore on the deal. Citi is advising DroneDeploy.
